Las Acciones Rescatables. Aspectos jurídicos y contables.

Abstract

[ES] Este trabajo trata sobre las acciones rescatables, llevando a cabo un estudio minucioso sobre la figura en los aspectos jurídicos de la misma, comenzando por un análisis en su origen anglosajón, y analizando los puntos clave de la misma, atendiendo fundamentalmente al carácter rescatable que la define, y estudiando la emisión de las mismas, y la amortización del rescate que se lleva a cabo, finalizando con un estudio contable de la figura, añadiendo novedades recientes a la contabilidad de la misma.

Este estudio está enfocado a dar a conocer esta figura tan novedosa en nuestro derecho societario, y además potenciar la práctica de la misma, pues el uso de esta figura en nuestro país es muy escaso, y esto choca con la gran utilidad y el amplio abanico de posibilidades que muestran estas acciones rescatables en nuestro derecho societario.

[EN] This work deals with the redeemable actions, carrying out a meticulous study on the figure in the legal aspects of the same, beginning with an analysis in its Anglo-Saxon origin, and analyzing the key points of the same, paying attention fundamentally to the redeemable character that defines it, and studying the emission of the same, and the amortization of the rescue that is carried out, finalizing with an accounting study of the figure, adding recent novelties to the accounting of the same one.

This study is focused on raising awareness of this very innovative figure in our corporate law, and also enhance the practice of it, because the use of this figure in our country is very scarce, and this clashes with the great utility and the wide range of possibilities that show these redeemable actions in our corporate law.
