Resumen
[ES] La sociedad de capital se puede definir como una clase de
entidad que se encuadra dentro del concepto de sociedad
mercantil, y en la que podemos distinguir vanos tipos de
sociedades a las que se aplica la denominada Ley de Sociedades de
Capital.
Dentro de las sociedades de capital las acciones y
participaciones sociales son elementos importantes que van a
dividir el capital de la misma, y que van a ser adquiridas por
sujetos que ostentarán la condición de socio en la sociedad una vez
sean titulares de ellas. Quien sea titular de la correspondiente
acción o participación social va a ostentar la condición de socio, y
por el simple hecho de ser titular, va a gozar de una serie de
derechos en dicha sociedad. Las acciones son propias de las
sociedades anónimas, mientras que las participaciones sociales lo
son de las sociedades limitadas, existiendo algunas diferencias en
su régimen jurídico.
[EN] The capital company can be defined as a class of entity that fits within the concept of the comercial company, and that can distinguish severa} types of companies to which the so-called Capital Companies Law applies. Witbin the capital companies, the shares and social participations are important elements that will divide the capital of the same, and that wiJI be acquired by the subjects that will hold the status of partner in the company once they are owners of them. Who is the owner of the social action or participation in favor of the status of partner, and by the simple fact of being a holder, is a holder of a series of rights in that company. Tbe shares are owned by public limited companies, while social holdings are held by limited companies, with sorne differences in their lega] regime.
