Abstract

Por la propia naturaleza económica de las empresas hace que en muchas situaciones necesiten reorganizarse mediante procedimientos cuya finalidad básicamente es transmitir su capacidad económica a cambio de una contraprestación. La cesión global del activo y del pasivo podemos definirla como una herramienta bastante común en lo referente a la transmisión de las empresas. Lógicamente esta figura ha ido sufriendo modificaciones en consonancia con la evolución que han ido sufriendo las sociedades mercantiles, esa naturaleza liquidataria de esta figura hay que destacar que se encuentra incompleta, básicamente en este trabajo lo que vamos a afrontar es la evolución normativa de esta figura crucial en la disolución de sociedades.
