Las acciones y participaciones sociales en las sociedades de capital

Abstract

[ES] Este trabajo consiste en el análisis y comparativa de las acciones en la Sociedad Anónima y las participaciones en la Sociedad de Responsabilidad Limitada. En él, he plasmado lo más destacado de las acciones y las participaciones sociales teniendo en cuenta la Ley 1/2010, de 2 de Julio, de Sociedades de Capital, pero también, en menor medida, otras leyes como la Ley 4/2015, de 23 de octubre, del Mercado de Valores, el Real Decreto 1784/1996, de 19 de julio, que aprueba el Reglamento del Registro Mercantil, y las derogadas Leyes 1564/1989, de 22 de diciembre, de Sociedades Anónimas y 2/1995, de 23 de marzo, de Sociedades de Responsabilidad Limitada (éstas dos últimas a modo comparativo con la actual LSC). El objetivo es informar lo más detalladamente posible de las clases de acciones y participaciones sociales, su representación y transmisión, los negocios que hay sobre ellas y sus derechos.

[EN] This work consists in the analysis and comparison of the shares in the Public Limited Company and the shares in the Limited Liability Company. In it, I have reflected the highlights of the actions and social participations taking into account Law 1/2010, of July 2, of Capital Companies, but also, to a lesser extent, other laws such as Law 4/2015, of October 23, of the Stock Market, Royal Decree 1784/1996, of July 19, which approves the Regulations of the Commercial Registry, and the repealed Laws 1564/1989, of December 22, of Limited Companies and 2/1995 , of March 23, of Limited Liability Companies (these last two in a comparative way with the current LSC). The objective is to inform as thoroughly as possible of the classes of shares and social participations, their representation and transmission, the businesses that are on them and their rights.
