MODIFICACIONES ESTRUCTURALES DE LAS SOCIEDADES MERCANTILES: LA TRANSFORMACIÓN

Abstract

Mi trabajo de fin de grado trata sobre las modificaciones estructurales de las sociedades mercantiles. En primer lugar plasma el concepto y tipos de modalidades de la misma, para más adelante tratar los requisitos de la transformación. Por consiguiente observamos los efectos al producirse la transformación, que engloban la subsistencia de la personalidad jurídica de la sociedad transformada, la subsistencia de las obligaciones de los socios, el mantenimiento de la participación de los socios, responsabilidad de los socios por las deudas sociales, la posibilidad de modificaciones adicionales embebidas en la transformación y los efectos para los acreedores. Por último contempla un ejemplo sobre jurisprudencia del tema a tratar.

My dissertation deals with the structural modifications of commercial companies. Firstly, it expresses the concept and modalities of them and, as can be seen later, it deals with the requirements for those transformations. Therefore, we observe the effects of the transformation, which include the subsistence of the legal personality of the transformed company, the partners’ subsistence and obligations, their maintenance, participation and liability for the social debts, together with the possibility of additional modifications embedded in the transformation and the effects for creditors. Finally, it includes an example of jurisprudence of the discussed subject.
