DICTAMEN JURÍDICO SOBRE ACCIONES CIVILES Y RESPONSABILIDADES PENALES DE LAS PERSONAS JURÍDICAS Y ADMINISTRADORES

Abstract

[ES] La compraventa produce obligaciones de transmitir respectivamente, la cosa y el precio, es por lo tanto un contrato obligacional creador de un título, que justifica y da causa a una ulterior adquisición. Si las obligaciones que se originan como consecuencia de la transmisión son vulneradas, nos encontramos obligados a restituir esa vulneración y reparar el daño causado con sujeción a la indemnización de los daños y perjuicios, si el incumplimiento incurriera en: dolo, negligencia o morosidad, e interponiendo la acción correspondiente y frente al orden jurisdiccional que pertenezca. Las leyes procesales nos otorgan la posibilidad de ejercitar cuantas acciones sean necesarias para restituir el derecho vulnerado, con la garantía de la tutela judicial efectiva así como la seguridad jurídica que ha de regir en cada procedimiento.
