La remuneración en la empresa: específica mención de la retribución de los Consejeros

Abstract

[ES]Este trabajo trata sobre la retribución de los consejeros. Consta de dos partes, una teórica y otra práctica. En la primera, se procede a explicar el concepto de retribución. Además, se tratan unas consideraciones generales sobre el Consejo de Administración, se explican los tipos de consejeros y los diferentes informes que afecta a la remuneración de éstos: los informes Olivencia, Aldama, Conthe y el Informe Anual de Gobierno Corporativo. También, se exponen los diversos sistemas por los que pueden optar las empresas para decidir su política retributiva, y las formas de compensación de los trabajadores. En cuanto a la parte práctica, se aplicarán todas las cuestiones de la parte teórica al caso del Banco Bilbao Vizcaya Argentaria. Por último, se realiza una comparativa entre el salario del Presidente del Banco Bilbao Vizcaya Argentaria y el salario de la Presidenta del Banco Santander.[EN]This university paper deals about the counselor’s remuneration. This job is formed by two parts, a theoretical part, where we proceed to explain, in a general way, the concept of retribution. Furthermore, it deals with general considerations on the management board, the types of counselors and the different reports that affect the remuneration as: the Olivencia, Aldama, Conthe and the Annual Corporate Governance Report. Also, this paper explains the different systems by which companies can choose to decide their remuneration. On the other hand a practical part, where all the questions of the theoretical part, will be applied to the case of the Banc Bilbao Vizcaya Argentaria. Finally, it makes a comparison between the salary of the President of Banc Bilbao Vizcaya Argentaria and the salary of the President of Banc Santander.
