CÓDIGOS DE BUEN GOBIERNO: APLICACIÓN DEL CÓDIGO RODRÍGUEZ A LAS EMPRESAS SACYR Y BANCO DE SANTANDER.

Resumen
[ES]En el presente trabajo de fin de grado el objetivo principal consiste en la realización de un caso de estudio que permita completar la formación teórica adquirida en relación con los diferentes Códigos de Buen Gobierno que han ido surgiendo con el paso de los años y el grado de seguimiento por las empresas del IBEX35 centrándonos especialmente en dos: la primera de ellas constituye un ejemplo a seguir en cuanto a buen gobierno y a responsabilidad social, siendo esta el Banco Santander y la segunda que, por el contrario, se caracteriza por una aplicación en menor medida de las recomendaciones como es la empresa Sacyr.
Así, se presentan dos casos prácticos reales que pueden ser utilizados en el desarrollo docente de la asignatura Administración de Empresas dentro del Área de Organización de Empresas, Marketing y Sociología.
Para la elaboración de estos casos prácticos docentes se han seleccionado dos empresas, la cuales están presentes en el IBEX 35. El trabajo comienza con el análisis de los diferentes Códigos de Buen Gobierno que han surgido a lo largo de la historia haciendo hincapié en el último código ya que está siendo objeto de aplicación por las empresas. Además se analiza cuáles de sus recomendaciones son las más significativas. En la segunda parte del trabajo se propondrá un caso práctico junto con su resolución y se describen los aspectos claves para su aplicación a la actividad docente. Una vez redactado todo lo anterior se finaliza con una conclusión.
[EN] In this paper EOG the main objective is realize a case study which allow complet ing the theoretical training acquired in relation to the different Codes of Good Governance that have arisen throghout our history and the scale of following of the IBEX35 companies mainly focus on two: the first one is an example to follow in terms of good governance and social responsibility, it is Banco Santander and the second, by contrast, it is characterized by a poor application to the recommendations an example of this is the company Sacyr. In this way, two real case studies are suggested and they can be used in the educational development of the subject of Business Administration within the Department of Management, Marketing and Sociolog.For the preparation of these case studies we have selected two companies, which are present in the IBEX 35. The work begins with an analysis of the various Codes of Good Governance that have arisen throughout history emphasizing the last code which is being object of implementation by companies. Furthermore it is analyzed which of its recommendations are the most significant. In the second part of this work, a case will be proposed along with its resolution and it describes the key aspects for application to teaching. At the end we finish by a conclusión.
