Resumen
[ES] La empresa familiar tiene una gran relevancia desde tiempos históricos, y a pesar de ello, son escasos los estudios al respecto. Reviste unas características singulares que en ocasiones pueden originar problemas a los que el empresario familiar debe de enfrentarse, alterando el equilibrio entre dos figuras importantes que coexisten dentro de la misma, empresa y familia. Por ello, el protocolo familiar es el instrumento que se anticipa a aquellas situaciones conflictivas que alteran el normal funcionamiento de la empresa familiar, incluyendo los aspectos más relevantes en cuanto al cambio generacional. Por último, para garantizar un adecuado cambio generacional que vele por la unidad y la continuidad de la empresa familiar, puede entrar en juego el artículo 1.056 del Código Civil español, si el empresario testador lo considera oportuno.
[EN] Family business has a huge importance since time immemorial, despite counting on limited researches. It covers a range of singular characteristics, which, sometimes, are likely to lead to problems which have to be faced by the businessmen, altering the balance between the two main roles within this kind of business, the business itself and the family. That is why, the familiar protocol, is the instrument in charge of anticipating those conflictive situations which alter the ordinary working of the familiar business, including the most relevant aspects having to do with the generation change. In order to guarantee a proper generation change, which ensure the unity and continuity of the familiar business, the Article 1056 from the Spanish Civil Code is built, if the employer considers it necessary
